Loans Securitisation, Law No. 130 of 30 April 1999
Securitisation is a financial operation that enables a company to assign its current or future monetary receivables to another company, an SPV (Special Purpose Vehicle) specifically incorporated to convert them into securities negotiable on the financial market.
This transaction results in the issuance of asset-backed and partly-paid securities, pursuant to Law No. 130/1999, and subsequently enables the SPV to acquire non-performing loans.
The transaction is structured in two phases:
Assignment of the non-performing loan portfolio to the SPV.
All parties (the SPV, the special servicer, the depository bank, the paying agent and the investor) define and execute the final agreements for the transaction. Following execution, the SPV issues securities in dematerialised form, centralised through the Monte Titoli system and registered with the Bank of Italy.
For tax purposes, the income generated by the securities issued is subject, for direct tax purposes, to a withholding tax of 12.5%, in the same way as bonds issued by listed joint-stock companies (S.p.A.) trading on regulated markets. Certain relief from stamp duty, mortgage and cadastral taxes, registration tax and government concession fees is available for medium- and long-term credit recovery transactions.

La cartolarizzazione è una operazione finanziaria che prevede la possibilità, per una società, di cedere i propri crediti pecuniari, presenti e futuri, ad altra società appositamente costituita, SPV (Special Purpose Vehicle), che si occuperà della loro trasformazione in titoli negoziabili sul mercato finanziario.
L’Operazione si struttura come emissione di titoli asset-backed e partly-paid ai sensi della Legge 130/1999 con la possibilità, per la società veicolo costituita, di fare successivi acquisti di crediti deteriorati a seguito dell’emissione dei Titoli.
L’operazione si articola in due fasi:
Circa gli aspetti fiscali, i proventi derivanti dai titoli emessi sono assoggettati, ai fini delle imposte dirette, a ritenuta del 12,5%, come per le obbligazioni emesse da SPA quotate in mercati regolamentati. Per le cessioni di crediti a medio e lungo termine, sono previste agevolazioni su imposte di bollo, registro, ipotecarie, catastali e sulle concessioni governative.
